What's Included: Three Connected Workstreams

The Carrier Launch Partnership is delivered as three connected but separately governed workstreams. Each has its own scope of work or agreement with its own version and acceptance record — they are never merged into one document.

1

Carrier Preparation

One-time launch work: strategy, truck selection support, insurance liaison, registrations, compliance setup, and audit preparation — covered by the $3,000 launch fee.

Governed by the Carrier Preparation Scope of Work

2

Carrier Management Through Tacit OS

Ongoing administrative carrier management: records, driver and equipment administration, compliance tracking, settlements preparation, and breakdown-management tools.

Governed by the Carrier Management Scope of Work

3

Dispatch Services

Professional dispatch support: freight search, rate negotiation, load booking, shipper communication, accessorials, and billing paperwork — at 10% of qualifying revenue.

Governed by the Dispatch Services Agreement

Carrier Preparation

Carrier Preparation is the launch phase covered by the one-time $3,000 fee. Tacit works alongside you — reviewing your plan, organizing truck candidates, acting as your trucking operations liaison with a licensed insurance representative, preparing registrations and filings for your signature, and setting up the compliance systems and Tacit OS workspace the carrier will run on. Expand each area below for the detailed scope.

Carrier Management Through Tacit OS

After launch, your carrier is managed administratively through Tacit OS: records, driver and equipment administration, insurance and registration tracking, safety and compliance workflows, and settlement preparation. Tacit OS provides the tools and visibility needed to manage the carrier — and the owner retains final responsibility for the decisions that run it. No separate monthly management price is charged at this time.

Dispatch Services

Once the carrier is ready to move freight, Tacit provides dispatch support: sourcing loads, negotiating rates, booking with your approval, and — most importantly — handling the shipper and receiver communication that keeps freight moving and your carrier's reputation strong. Dispatch is governed by the separate Dispatch Services Agreement.

Dispatch Fee: 10% of Gross Transportation Revenue

Applies to loads sourced, negotiated, booked, managed, or materially serviced by Tacit

Included in the calculation

Linehaul plus detention, layover, TONU, stop-off, driver-assist, tarp, reconsignment, redelivery, storage, cancellation, and other negotiated freight or accessorial revenue.

Excluded from the calculation

Separately itemized fuel surcharge, and lumper, toll, scale, permit, and repair reimbursements and other direct pass-throughs.

When fuel surcharge is not separately itemized, the calculation rules in the Dispatch Services Agreement apply. Fees are calculated from final rate confirmations, revised rate confirmations, settlements, and factoring records — and invoiced per the separate Dispatch Services Agreement, never at checkout.

What the Owner Remains Responsible For

This is a partnership, not a takeover. The owner retains final responsibility for safety, legal compliance, employment, finances, equipment, insurance, and operations.

Paying drivers & contractors

Compensation, payroll funding, payroll taxes, and tax forms stay with the owner.

Approving major expenses

Repairs, purchases, financing, and insurance decisions require owner approval.

Ownership decisions

The owner makes the business decisions — Tacit organizes the information behind them.

Working capital

Maintaining the cash the carrier needs to operate is an owner responsibility.

Recruiting & approving drivers

Hiring, classifying, compensating, disciplining, and terminating drivers.

Adding equipment

Decisions to buy, finance, or add trucks and trailers belong to the owner.

Customer & business relationships

The carrier's relationships and reputation are built and owned by the owner.

Growing the carrier

Growth strategy, reviewing reports, and responding to escalations.

What Tacit Does Not Do

Honest scope makes for durable partnerships. Tacit provides administrative carrier management, operational support, compliance tracking, trucking operations liaison services, and dispatch support — and stops at these lines:

  • Tacit does not guarantee authority approval, financing, insurance pricing, freight volume, revenue, or profitability
  • Tacit does not sell trucks or inspect vehicles
  • Tacit does not sell, bind, or underwrite insurance
  • Tacit does not provide financing
  • Tacit does not pay drivers or act as employer of record
  • Tacit does not find, hire, or pay mechanics or towing providers
  • Tacit does not book travel or lodging
  • Tacit does not act as the motor carrier for your freight

How the Launch Process Works
