By accessing or using the Tacit Logistics platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service, including carriers, dispatchers, and drivers.

The Service and its original content, features, and functionality are owned by Tacit Logistics, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of any content you submit to the Service, but grant us a license to use, modify, and display such content as necessary to provide the Service.
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We comply with applicable data protection laws, including those related to transportation and logistics data required by DOT and FMCSA regulations.
Tacit OS may provide educational resources, guided services, and referrals to third-party providers to assist with matters such as FMCSA registration, BOC-3 filings, UCR registration, insurance applications, and apportioned plate registration. Unless we expressly state otherwise in writing, Tacit OS does not complete or submit filings on your behalf. You are solely responsible for the accuracy, completeness, and timely submission of all applications, filings, and supporting documents.
Tacit OS is not a law firm, accounting firm, or insurance provider and does not provide legal, tax, or insurance advice. Insurance products and services are provided exclusively by licensed third-party partners. Any references or links to third parties are provided for convenience only; such parties are independent of Tacit OS and we are not responsible or liable for their acts, errors, omissions, quotes, or policy terms.
By using our guided services, you acknowledge that our role is limited to providing general educational materials, templates, and instructions. We do not guarantee acceptance, approval, or regulatory compliance of your filings.
The Service lets you connect third-party accounts and services, including banking data (via Plaid), Electronic Logging Device and telematics providers (such as Motive and Geotab), messaging providers (such as Twilio, RingCentral, and Vonage), and business-formation services (such as CorpTools). When you connect such an account, you authorize Tacit OS to exchange the relevant data with that provider to deliver the requested functionality.
Your use of any third-party service is also governed by that provider's own terms and privacy policies. These providers are independent of Tacit OS, and we are not responsible or liable for their acts, errors, omissions, outages, or changes to their services. You are responsible for maintaining your own accounts and credentials with these providers.
Our Bring Your Own Messaging Service ("BYOMS") feature lets carriers send text (SMS) messages through their own connected messaging provider. BYOMS is intended for transactional communications (such as staff and customer operational messaging) only and may not be used for advertising or unsolicited marketing.
If you use BYOMS or otherwise send messages through the Service, you represent and warrant that you have obtained all required consents from message recipients and that your messaging complies with all applicable laws and industry standards, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines. You are responsible for your own messaging-provider account, all associated costs, and the content of the messages you send.
Tacit OS is not responsible or liable for messages sent through carrier-controlled messaging accounts, and you agree to indemnify us for claims arising from your messaging activities.
If you use our Medical Courier services, you may handle Protected Health Information ("PHI") subject to the Health Insurance Portability and Accountability Act ("HIPAA"). You are responsible for your own HIPAA obligations and for ensuring you have the authority and authorizations necessary to submit and process PHI through the Service.
Where Tacit OS processes PHI on your behalf as a business associate, that processing is governed by a separate Business Associate Agreement ("BAA"). You agree not to submit PHI to the Service outside the designated Medical Courier workflows.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, TACIT LOGISTICS’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL BE LIMITED AS FOLLOWS: (A) FOR CLAIMS RELATED TO OUR GUIDED SERVICES OR COMPLIANCE ASSISTANCE, THE LIMIT IS THE AMOUNT YOU PAID FOR THE SPECIFIC GUIDED SERVICE GIVING RISE TO THE CLAIM; AND (B) FOR ALL OTHER CLAIMS, THE LIMIT IS THE TOTAL FEES YOU PAID TO TACIT LOGISTICS FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL TACIT LOGISTICS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR REGULATORY PENALTIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to defend, indemnify, and hold harmless Tacit Logistics, its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from (a) your use of the Service; (b) your inaccuracy or incompleteness of information submitted for any filing or application; (c) your violation of these Terms; or (d) your interactions with, or reliance on, any third-party services or partners.
We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, or our business interests.
You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately.
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
Any disputes arising under these Terms shall be resolved through binding arbitration in Dallas County, Texas, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
You waive any right to participate in class action lawsuits or class-wide arbitrations against us.
We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
